1. Scope of Work

The Service Provider agrees to provide SEO services to the Client as described in the Scope of Work document attached hereto as Exhibit A. The services include but are not limited to:

  • SEO Audit: Conducting a thorough analysis of the Client’s website to identify areas of improvement for search engine optimization.
  • Keyword Research: Researching and selecting the most relevant and high-traffic keywords related to the Client’s business and industry.
  • On-Page Optimization: Optimizing the Client’s website pages, including meta tags, titles, descriptions, headings, and content, to improve search engine rankings.
  • Link Building: Acquiring high-quality backlinks from authoritative sources to increase the website’s authority and improve rankings.
  • Content Creation: Developing high-quality, SEO-friendly content to attract and engage the target audience and increase the website’s visibility.
  • Technical SEO: Improving the website’s technical aspects such as site speed, mobile responsiveness, XML sitemap, and schema markup.
  • Local SEO (if applicable): Optimizing the website for local search by including the business in local directories, creating content relevant to a specific geographic region, and optimizing the Google My Business listing.
  • Monthly Reporting: Providing detailed monthly reports on the progress of the SEO efforts, including keyword rankings, website traffic, and other relevant metrics.

2. Term and Termination

The term of this Agreement shall commence on the Effective Date and shall continue for a period of [LENGTH OF CONTRACT] months. Upon expiration of the initial term, this Agreement shall automatically renew for successive [LENGTH OF RENEWAL] month periods unless either party gives written notice of termination to the other at least [NUMBER] days prior to the end of the then-current term. 5. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information (“Confidential Information”) of the other party. Neither party shall disclose the other party’s Confidential Information to any third party without the prior written consent of the other party, except to the extent required by law or to their respective advisors, attorneys, or accountants.

6. Warranties and Representations

The Service Provider represents and warrants that it has the right to enter into this Agreement and that its services will be performed in a professional and workmanlike manner. EXCEPT AS OTHERWISE EXPRESSLY PROVIDED IN THIS AGREEMENT, THE SERVICE PROVIDER DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT.

7. Limitation of Liability

IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES (INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, OR GOODWILL) ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the [STATE/COUNTRY].
